TERMS OF SERVICE (TOS)

These Terms of Service (hereinafter referred to as the “Agreement”) are entered into by and between TrentaHost Inc., a duly incorporated entity (“TrentaHost,” “we,” “our,” or “us”), and the individual or entity identified in the Service Descriptions (“Customer,” “you,” or “your”), collectively referred to as the “Parties.”
This Agreement governs your access to and use of all products and services provided by TrentaHost (the “Services and Products”) as described in the Service Order Form, Service Level Agreement, applicable addenda, and all support documentation and product listings provided by TrentaHost (collectively, the “Service Descriptions”).
1. Data Management and Backups
1.1. Customer Responsibility for Data: Use of our Services is at your sole risk. You are solely and fully responsible for maintaining current and complete backups of all files and data residing on TrentaHost servers.
1.2. No Guarantee of Backup: TrentaHost does not provide data backup services as part of standard offerings. Backups, if any, are provided as-is and without warranty. Data will not be restored for accounts suspended or terminated for any reason.
2. Uptime and Service Level Agreement
2.1. Uptime Commitment: TrentaHost endeavors to provide a 99% uptime guarantee for shared hosting services only.
2.2. Credit Requests: Uptime credits are issued solely at the discretion of TrentaHost based on internal monitoring systems. Third-party uptime monitoring tools will not be considered valid evidence.
2.3. Claim Procedure: All claims for service credits must be submitted in writing to [email protected]. Claims must include supporting documentation and justification.
3. Spam and Abuse Policy
3.1. Zero Tolerance for Spam: TrentaHost maintains a strict zero-tolerance policy regarding the transmission of unsolicited bulk emails (“Spam”).
3.2. Prohibited Practices: The use of purchased, rented, or harvested email lists, “safe lists,” or spamvertised domains is strictly prohibited.
3.3. Account Termination: Violations may result in immediate suspension or termination without prior notice.
3.4. Blacklisting: Any account that causes TrentaHost’s IP addresses to be blacklisted will be subject to immediate suspension and a remediation fee at TrentaHost’s discretion.
4. Bandwidth Usage
4.1. Allocation: Bandwidth is allocated per hosting package and is non-transferable between months.
4.2. Overages: TrentaHost may, at its discretion, suspend service, charge overage fees, or require service upgrades if bandwidth usage exceeds the allocated amount.
5. Refund and Money-Back Guarantee
5.1. Refund Conditions: Refunds are subject to our published Refund Policy. Violation of the Terms of Service or Acceptable Use Policy voids any refund eligibility.
6. Reseller Responsibilities
6.1. Client Support: Resellers are solely responsible for providing support to their end clients.
6.2. Liability: Resellers assume full responsibility for the content and actions of their clients and may be held liable for violations of law or this Agreement.
6.3. Administrative Fees: A $15 administrative fee may apply to reinstate accounts suspended due to client abuse.
7. Indemnification
You agree to defend, indemnify, and hold harmless TrentaHost, its officers, employees, affiliates, and agents from any and all claims, liabilities, losses, damages, and costs (including legal fees) arising out of:
(i) your use of the Services,
(ii) violation of this Agreement or any applicable law,
(iii) any content or materials provided or transmitted by you,
(iv) claims of intellectual property infringement,
(v) any acts or omissions by your clients (for Resellers).
8. Prohibited Conduct and Offensive Content
8.1. Content Restrictions: Hosting of racist, hateful, defamatory, harassing, or threatening material is strictly prohibited.
8.2. Behavioral Standards: You may not post or disseminate false, misleading, defamatory, or disparaging remarks about TrentaHost or its staff on public forums, blogs, or social media.
8.3. Enforcement: Violations may result in immediate termination without refund and legal action where applicable.
9. Limitation of Liability
9.1. No Warranty: TrentaHost makes no warranties, express or implied, including but not limited to the implied warranties of merchantability or fitness for a particular purpose.
9.2. Limitation: In no event shall TrentaHost be liable for any loss of data, revenue, or profits, or any special, incidental, or consequential damages arising out of or related to this Agreement or your use of the Services.
10. Acceptable Use Policy (AUP)
Your use of the Services is subject to our Acceptable Use Policy, which is incorporated herein by reference. Violations may result in suspension or termination without notice.
11. Account Suspension and Un-Suspension Fees
11.1. Suspension Grounds: Services may be suspended for violations of this Agreement or any applicable law.
11.2. Un-Suspension Fee: TrentaHost may charge a discretionary $5 fee to unsuspend accounts, depending on the nature of the violation.
12. Domain Name Transfers
12.1. Transfer Restriction: Domain names registered through TrentaHost may not be transferred to another registrar within the first ninety (90) days of initial registration.
13. Modifications to the Agreement
13.1. Right to Amend: TrentaHost reserves the right to modify this Agreement at any time, with or without notice. Continued use of the Services constitutes acceptance of the modified terms.
14. Governing Law and Jurisdiction
14.1. Applicable Law: This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of laws principles.
14.2. Dispute Resolution: Any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.
15. Entire Agreement
This Agreement, including any Service Descriptions, addenda, and incorporated policies, constitutes the entire agreement between the Parties and supersedes all prior communications and understandings.
